These terms govern your use of our website and the services Softileo provides. By engaging with us, you agree to these terms. We have written them to be as clear and fair as possible — no hidden clauses.

01 — Acceptance of Terms

Acceptance of Terms

By accessing softileo.com, requesting a quote, booking a consultation, or engaging Softileo for any service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you do not agree with any part of these terms, please do not use our website or services. We reserve the right to update these terms at any time — continued use of our services following any changes constitutes acceptance of the updated terms.

These Terms of Service apply to all visitors, clients, and users of softileo.com. For enterprise or agency arrangements, a separate Master Service Agreement (MSA) may be issued and will take precedence over these general terms.

Our Services

Softileo provides the following professional services to businesses and entrepreneurs worldwide. All services are subject to scope agreement, timeline confirmation, and project-specific terms outlined in our proposals.

Shopify Development

Store setup, custom theme development, app integration, Shopify Plus solutions.

WordPress Development

Custom themes, plugin development, WooCommerce stores, site migrations.

AI & Automation

n8n workflows, AI chatbots, custom GPT integrations, process automation.

Custom Software

Bespoke web applications, SaaS products, patient portals, mobile apps.

SEO & Digital Marketing

Technical SEO, content strategy, social media management.

Graphic Design

Logo design, brand identity, UI/UX design, video editing.

Services are delivered remotely. Exact deliverables, milestones, timelines, and pricing are confirmed in a written project proposal or statement of work (SOW) before work commences.

03 — Client Obligations

Client Obligations

To enable Softileo to deliver your project on time and to the agreed standard, you agree to the following obligations:

Timely Feedback

Provide feedback, approvals, and required assets within the timeframes agreed in the project proposal. Delays caused by late client feedback may extend the project timeline proportionally.

Access & Credentials

Supply all necessary logins, API keys, hosting credentials, and third-party platform access required to complete the project. You are responsible for the security of credentials shared with us.

Accurate Information

Provide accurate, complete, and up-to-date information including brand guidelines, content, and business requirements. Inaccurate information that necessitates rework may incur additional charges.

Legal Compliance

Ensure that any content, trademarks, images, or materials you provide do not infringe any third-party intellectual property rights, privacy rights, or applicable law.

Communication

Designate a primary point of contact for the project and respond to communications within 3 business days unless otherwise agreed.

04 — Payment Terms

Payment Terms

All pricing is confirmed in your project proposal before work begins. By approving a proposal, you agree to the payment schedule outlined therein.

For ongoing retainer arrangements, payment is due on the 1st of each month. We accept bank transfer, PayPal, Payoneer, and Wise. Payment method must be agreed before project commencement.
05 — Intellectual Property

Intellectual Property

Client Ownership

Upon receipt of full and final payment, Softileo assigns all intellectual property rights in the custom deliverables to the client. This includes source code, design files, and written content created specifically for your project.

Pre-existing IP

Any pre-existing tools, frameworks, libraries, or methodologies used by Softileo remain our property. We grant you a non-exclusive, royalty-free licence to use these as part of your delivered project.

Client-Supplied Assets

You retain ownership of all content, images, trademarks, and materials you provide to us. By supplying these, you warrant that you have the right to use them and to permit us to use them in your project.

Portfolio Rights

Unless agreed otherwise in writing, Softileo reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials. We will never disclose confidential business information.

Open Source Components

Projects may incorporate open source libraries. These remain subject to their respective licences (MIT, GPL, etc.) which are separate from the ownership terms outlined here.

06 — Confidentiality

Confidentiality

Both parties agree to keep confidential all proprietary information, business data, technical documentation, pricing, and trade secrets shared during the course of the project.

  • Softileo will not disclose your business information, project details, or data to any third party without your prior written consent.
  • Confidentiality obligations survive the termination of the project or agreement by a period of 3 years.
  • A separate Non-Disclosure Agreement (NDA) can be provided upon request before any sensitive information is shared.
  • This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
07 — Warranties & Disclaimers

Warranties & Disclaimers

Softileo warrants that all services will be performed with reasonable skill and care, in accordance with the agreed specifications and professional industry standards.

What We Warrant

We warrant that deliverables will conform to the agreed specifications, that we have the right to provide the services, and that our work will not knowingly infringe third-party intellectual property rights.

What We Disclaim

We do not warrant that our services will be free from all defects, that third-party platforms (Shopify, WordPress, etc.) will function without interruption, or that results such as revenue growth or search rankings are guaranteed.

Bug Fix Warranty

We provide a 30-day post-launch warranty covering bugs and defects directly attributable to our work. Issues caused by client modifications, third-party updates, or platform changes are outside this warranty.

08 — Limitation of Liability

Limitation of Liability

To the fullest extent permitted by applicable law, Softileo's total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific project giving rise to the claim in the 6 months preceding the claim.

Softileo shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, loss of business, or business interruption — even if we have been advised of the possibility of such damages.

We are not liable for damages resulting from: third-party platform outages or API changes (Shopify, WordPress, Meta, Google, etc.), client failure to maintain backups, force majeure events, or modifications made to deliverables by anyone other than Softileo.

09 — Termination

Termination

Either party may terminate a project agreement under the following conditions:

Client Cancellation

You may cancel a project at any time with 14 days written notice. Work completed up to the cancellation date will be invoiced at the pro-rata project rate. Deposits paid are non-refundable once work has commenced.

Softileo Cancellation

We may terminate an engagement with 14 days written notice if: invoices remain unpaid beyond 21 days, the client is abusive toward our team, the project requires us to engage in unlawful activity, or it becomes technically unfeasible.

Immediate Termination

Either party may terminate immediately for material breach — for example, non-payment, breach of confidentiality, or fraud — provided written notice identifying the breach is given and the breach is not remedied within 7 days.

Post-Termination

On termination, Softileo will deliver all completed work to the client (subject to any outstanding payments). Each party will return or destroy the other's confidential information. Sections on IP, confidentiality, payment, and liability survive termination.

10 — Dispute Resolution

Dispute Resolution

We aim to resolve any disputes quickly and fairly. In the event of a disagreement, both parties agree to the following process:

  • Step 1 — Direct Communication: Raise the issue in writing to hello@softileo.com. We will acknowledge within 72 hours and work toward a resolution in good faith.
  • Step 2 — Mediation: If unresolved within 21 days, both parties agree to attempt mediation through a mutually agreed independent mediator before pursuing legal action.
  • Step 3 — Governing Law: These terms are governed by the laws of Pakistan. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Sargodha, Punjab, Pakistan.
For clients in the EU, UK, or USA, local consumer protection rights may apply in addition to these terms and are not affected by the governing law clause above.
11 — Changes to Terms

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Post a notice on our website for at least 30 days
  • Notify active clients by email before changes take effect

Continued use of our services after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree, you must stop using our services and notify us in writing.

These terms were last updated on March 1, 2025 and are effective as of that date.
